Membership Terms
Version 2026-10-31 · effective 31-10-2026 · replaces version 29-10-2026
In short
- Servicely connects firms and freelancers to swap services through equal-value vouchers. We are not a party to the service contracts between members.
- A voucher is the issuer's commitment to supply its services at face value, with the scope, delivery time and terms written on it. It is not money or stored value, and it cannot be sold, transferred or cashed.
- Nothing is issued until every party to a swap accepts, and the Platform shows each party what it will pay in cash before it accepts.
- You pay in cash: the membership fee; a platform fee of 7% of each voucher, split equally between issuer and receiver when delivery is confirmed; and VAT where it applies.
- Legal support is optional. It is provided by a member law firm you choose and contract with directly; Servicely is not a party to it.
- Each member is responsible for the users on its account and for its own tax and regulatory obligations.
1. Definitions
- Platform: the Servicely.Exchange website (servicely.exchange), applications and services.
- Operator, "we": مقايضة الخدمات (لتقنية المعلومات) (Muqayadat Al-Khadamat for Information Technology), which operates the Platform.
- Member: an establishment or freelancer whose application we have approved.
- Establishment: a business with a valid commercial registration in the Kingdom of Saudi Arabia.
- Freelancer: a Saudi individual holding a valid freelance work document issued by the Ministry of Human Resources and Social Development.
- User: an individual with a sign-in under a member's account, in one of these roles: Owner, Signatory, Operations or Finance.
- Voucher: an electronic commitment issued by one member to another to supply services of a set face value (SAR 1,000, 5,000 or 10,000), including the service scope, delivery time and terms.
- Swap or deal: a transaction of two to four members at one voucher value, in which each member issues one voucher and holds one, whether suggested by the Platform or offered directly by one member to another.
- Legal support firm: a legal-sector member offering the optional legal support service through the Platform.
2. Eligibility and membership
- Establishments must provide a valid commercial registration number; freelancers a valid freelance work document number; and VAT-registered members their VAT number.
- Anyone applying for an establishment confirms they are authorised to bind it to these terms. A freelancer accepts them personally.
- We review every application and may accept or decline it, and we may verify details against official registers such as the Ministry of Commerce's Wathq service. Members cannot trade until approved.
- Approval requires an undertaking to issue and honour vouchers, printed on the establishment's official letterhead, signed by an authorised signatory and stamped, or signed personally by the freelancer, uploaded through the Platform and approved by us.
- Members must keep their details accurate and tell us promptly if their registration or freelance document expires or their VAT status changes.
- A freelancer's services are limited to the activities registered on their document; an establishment's to its registered activities and licences.
3. Accounts, users and security
- A member's owner may invite other users and set their roles: Owner (everything, including the team), Signatory (creates vouchers, offers and accepts swaps), Operations (letters, service requests, delivery, confirming receipt and disputes) and Finance (read-only).
- Any action a user takes within their role is an action of the member and binds it. The owner must give roles only to people who are genuinely authorised, and disable any user who leaves the member.
- Each user must keep their password, verification codes and recovery codes confidential, and tell us at once if they suspect unauthorised use.
- Two-step sign-in is available to all users and recommended. It is mandatory for platform admin accounts.
4. Trading between establishments and freelancers
Members may trade in any combination: business to business, business to freelancer, freelancer to business, and freelancer to freelancer. The same rules apply to everyone, with two points to note:
- When a VAT-registered member supplies an unregistered member, VAT is due in cash and the recipient cannot recover it. The Platform shows this cost before acceptance.
- The default issuing limit is SAR 10,000 for a freelancer and SAR 30,000 for an establishment, counting outstanding vouchers and commitments already accepted in open swaps. We may change a member's limit.
5. Creating vouchers
- Members describe each service they offer accurately: its scope, its delivery time from the date the service is requested, its terms, their normal cash price reference, and the values they will issue vouchers at.
- When a voucher is issued, these details are fixed on it as they stand at that moment; later edits to the offer do not change it.
- We may hide any offer that breaches these terms or is misleading.
6. Offering and accepting swaps
- The Platform suggests swaps between members where each needs what another offers, and a member may also offer a direct swap on any voucher in the voucher market. We do not guarantee that a match will exist or when.
- Offering a swap counts as the offering member's acceptance. A swap becomes binding only when every party accepts within the offer period (7 days); vouchers are then issued automatically.
- A member may not accept a swap that would exceed its issuing limit, and limits are checked again when all acceptances are in. A member may have no more than 10 open offers at a time.
- Before each party accepts, the Platform shows an estimate of what it will pay in cash on the swap. The estimate is a guide; the invoices are what counts.
7. Vouchers
- A voucher commits its issuer to supply services worth its face value at the issuer's normal cash prices, within the scope, delivery time and terms fixed on it. Issuers must not inflate prices for voucher holders.
- A voucher is not money, stored value or a payment instrument. It cannot be cashed and can be used only with the member that issued it.
- Vouchers cannot be transferred, sold or pledged to anyone else.
- Vouchers are valid for 12 months from issue. A voucher that expires without the service being requested lapses, and nothing is owed for it.
- Members may agree to services worth more than a voucher; any difference is settled outside the Platform at their own responsibility.
- For each voucher, the issuer uploads a formal letter printed on its letterhead, signed and stamped, setting out the voucher, its scope, delivery time and terms. The holder cannot request the service until the signed letter is uploaded, and the letter is locked once the service is requested. The letter carries a code that anyone can use to check the voucher on the Platform.
8. Requesting and delivering the service
- The holder requests the service through the Platform with a clear description of what it needs within the voucher's scope.
- The issuer delivers within the delivery time fixed on the voucher, counted from the request, or starts within 10 working days if no time is set, unless both agree otherwise. It delivers to the standard it gives cash clients.
- On delivery the issuer records a description of what it delivered. The holder then confirms receipt or disputes within 7 days; if the holder does not respond, we may treat the service as delivered.
- Confirmation closes the voucher. The platform fee then becomes due and invoices are issued.
9. Fees and taxes
| Item | Amount | Payable by |
| Membership | SAR 2,400 a year | Every member |
| Platform fee | 7% of each voucher's value, plus VAT whenever the Operator is VAT-registered | Half by the issuing member and half by the receiving member, when delivery is confirmed |
| VAT on the service | 15% of face value | The recipient, if the issuer is VAT-registered |
- Barter is a taxable supply. Each party supplies its services at the voucher's face value.
- Cash invoices are payable within the period shown on them (15 days unless stated otherwise), to the bank account shown on the invoice.
- Each member is responsible for VAT registration, issuing ZATCA-compliant e-invoices from its own system where required, filing returns, and paying any zakat or tax due.
- Invoices the Platform produces for supplies between members are supporting records. They do not replace the statutory e-invoice that a registered supplier must issue.
- We may change fees or how they are split with at least 30 days' notice; changes do not apply to swaps accepted before they take effect. Membership fees paid are refundable only where the law requires.
10. Optional legal support
- When offering or accepting a swap, each member may choose a legal support firm from the member firms listed, at the price and scope that firm sets.
- The legal support contract is made directly between the member and the firm, and the firm invoices the member. The Operator is not a party to that contract, does not guarantee its outcome, and is not responsible for the firm's opinion or performance.
- The firm sees the voucher file (scope, letter, delivery description and dispute reasons) only when a dispute is referred to it or after it is closed. By choosing a firm, the member agrees to that access.
- The firm's opinion advises the Servicely team and does not bind it. It does not include representation in court unless the member and firm agree that outside the Platform.
- The firm must comply with the professional rules governing the legal profession and keep confidential what it sees.
11. Member obligations
- Offer only lawful services you are licensed to provide.
- Do not give misleading information about your services, prices or identity.
- Do not deal around the Platform to avoid its fees with members you met through it, for 12 months from your first contact on the Platform.
- Use another member's contact details shown to you only for the swap between you.
- Protect any personal data you see while delivering a service, in line with the Personal Data Protection Law.
12. Disputes
- The holder may dispute a voucher after requesting the service and before confirming receipt, giving a reason. The voucher is frozen pending review.
- We review the dispute with both parties against the voucher's scope, the request and the delivery description, take the opinion of a legal support firm if either party chose one, and decide to return the voucher to the holder or treat the service as delivered. The dispute record and our decision are kept.
- Our decision is an administrative step within the Platform, not arbitration. Once we decide a service was delivered, the dispute is not reopened on the Platform.
- This does not affect either party's right to go to the competent authorities in the Kingdom.
13. Suspension and termination
- We may suspend or end a membership for breach of these terms, an expired registration or freelance document, or repeated disputes.
- Members may leave at any time. Vouchers they issued before leaving remain their obligation until used or expired.
14. Limits of liability
- The Platform is a technology intermediary. Each service contract is between the two members directly, and we do not guarantee the quality or fitness of services.
- We are not liable for indirect loss or loss of profit. Our total liability to any member is limited to the fees it paid us in the 12 months before the claim.
15. Electronic records
- Accepting these terms, offering and accepting swaps, requesting services and confirming receipt on the Platform are binding electronic transactions under the Electronic Transactions Law.
- The Platform's records, including its chained audit log, are evidence of what they contain unless shown otherwise.
16. Changes to these terms
We give members 30 days' notice of any material change. Continuing to use the Platform after that means you accept the change.
17. Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent judicial authorities in Riyadh hear any dispute arising from them. If the Arabic and English texts differ, the Arabic text prevails.
